Terms of Service

1. Agreement to Terms

By accessing or using AgentMall (the "Service"), operated by Signets Labs, Inc. ("we", "us", "our"), you agree to be bound by these Terms of Service. These Terms constitute a legally binding agreement between you and Signets Labs, Inc. If you do not agree, do not use the Service.

2. Description of Service

AgentMall provides an API, CLI tools, MCP servers, and agent skills that enable AI agents and developers to purchase products from supported US retailers. We act as an intermediary: we submit orders to retailers and fulfillment providers on your behalf. We are not the seller, manufacturer, or shipper of any products purchased through the Service. Product availability, pricing, descriptions, and shipping timelines are determined by the retailer and are subject to change without notice.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.

4. Purchases and Orders

4.1 Order Placement

Orders are placed via the AgentMall API by providing a product URL, US delivery address, and maximum budget in cents. We submit orders to supported retailers through our fulfillment infrastructure. Order acceptance is not guaranteed — orders may be rejected due to product unavailability, address validation failures, retailer restrictions, or other reasons.

4.2 Order Processing

Orders typically process within 5–10 minutes after payment confirmation. Orders that require manual handling may be reviewed by our operations staff or permitted service providers, who may see full order contents including personal data. We select shipping methods on your behalf to optimize for delivery speed and cost.

4.3 Supported Retailers

We currently support Amazon, Walmart, Target, Best Buy, Home Depot, eBay, Lowe's, Wayfair, Ace Hardware, 1-800-Flowers, and Pokemon Center. US shipping addresses only. One retailer per order. We may add or remove retailers at any time without notice.

5. Pricing and Payment

5.1 Pricing

You are charged the actual product price (up to your specified max_budget) plus a $1.50 service fee per order. The total charge will not exceed max_budget + $1.50 in USDC.

5.2 Payment Method

Payment is made via MPP (Machine Pay Protocol) using USDC stablecoins on the Tempo network. Payment is required before orders are submitted to retailers. You are responsible for maintaining sufficient wallet balance and for all transactions initiated from your wallet, including those initiated by AI agents operating with your credentials or keys.

5.3 Refunds

Refunds are issued automatically in USDC to the original payer wallet address when:

  • The actual product price is lower than max_budget
  • An order fails after payment has been received
  • A product is out of stock or unavailable after order submission

Refunds for successfully placed and delivered orders are subject to the retailer's return policy. We do not currently initiate returns or process return shipping on behalf of buyers. Refund processing times may vary.

6. AI Agent Responsibility

You are responsible for all orders placed by AI agents operating with your wallet keys, API credentials, MCP server configuration, or skill installations. This includes unexpected, erroneous, or unauthorized purchases. You should configure appropriate spending limits (max_budget) and monitor agent activity. We are not liable for purchases made by misconfigured or malfunctioning agents.

7. Acceptable Use

You agree not to:

  • Use the Service for illegal purchases or prohibited items
  • Submit fraudulent orders or false delivery addresses
  • Attempt to circumvent rate limits, abuse the API, or disrupt the Service
  • Resell or redistribute access to the Service without written consent
  • Use the Service to engage in price manipulation, scalping, or market abuse
  • Reverse engineer, decompile, or attempt to extract source code from the Service
  • Impersonate another person or entity in order details

8. Intellectual Property

The Service, including its API, documentation, website, CLI tools, MCP server, skills, and branding, is owned by Signets Labs, Inc. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not warrant that: orders will be successfully fulfilled by retailers; product descriptions, prices, or availability are accurate; the Service will be uninterrupted, error-free, or secure; or that defects will be corrected. Product quality, fitness, and merchantability are the responsibility of the retailer.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNETS LABS, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO: failed orders, incorrect products, delivery delays, retailer disputes, agent errors, or loss of funds. Our total aggregate liability shall not exceed the service fees ($1.50 per order) paid by you in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Signets Labs, Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: your use of the Service; orders placed by you or your agents; violation of these Terms; or infringement of any third-party rights.

12. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Pending orders may or may not be fulfilled at our discretion. Sections 9–11 and 13 survive termination.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Delaware.

14. Changes to Terms

We may modify these Terms at any time by posting the updated version on our website. The "Last updated" date will reflect the most recent revision. Continued use of the Service after changes constitutes acceptance of the updated Terms.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
